Corporate Governance has now evolved from a mere academic exercise to the application of the Principles of Good Corporate Governance. Many Institutions in Kenya, in both the Public and Private Sector, have now embraced the Principles of Good Corporate Governance. In this regard, the ICPSK has established an award titled “ICPSK Champions of Governance (COG) Award” to be given to those Institutions and/or individuals who exhibit the highest standards of practice of Good Corporate Governance.

This will be an annual Award meant to show case the best institutions, in terms of governance compliance and practices in Kenya.

This Award aims at promoting practices in good Corporate Governance in the following ways:

    1. Recognition of good Corporate Governance practices in the respective Corporate/institutional Boards, in terms of leadership.
    2. Recognition of innovation in organizations that support good Corporate Governance practices.
    3. Encouraging organizations to focus on enhancement of good Corporate Governance practices.


I.The Award Categories

The Award will have a total of ten categories and in each category there will be three awards, best in the category and first and second runners up. These categories are:

  1. Finance and Investment Sector Award
  2. Agricultural Sector Award
  3. Commercial and Services Sector Award
  4. Industrial and Allied Sector Award
  5. Statutory Bodies Award
  6. Small and Medium Enterprises Award
  7. Local Authorities Award
  8. Co-operative Sector Award
  9. Company Secretary of the year Award
  10. Best Governed Company Overall Award

II. The Parameters to be evaluated

The following parameters will be evaluated:

  1. Transparency and disclosure compliances
  2. Adherence to Laws and Regulations
  3. Annual General Meeting and other members’ meetings
  4. Service to members
  5. Communication and Public Education
  6. Board Independence and Governance
  7. Board Systems and procedures
  8. Consistent Shareholder Value enhancement
  9. Stakeholder value enhancement and Corporate Social Responsibility
  10. Other recognitions awarded to the Institution
  11. Creativity and Innovations
  12. Corporate Strategy
  13. Management and Human Resources Issues
  14. Financial reporting including notes to the accounts

III. Eligibility

All entities with a Corporate Structure are eligible to participate in this award. Specifically, the following would be considered:

Listed Companies

  1. Private Companies
  2. Statutory Bodies
  3. Local Authorities
  4. Co-operative Societies

IV. The Process

The following process will be applicable: -

  1. All organizations participating in the COG Award shall be required to pay a nominal registration fee of Kshs. 5,000.
  2. Each organization shall complete a registration form and submit it to the Institute of Certified Public Secretaries of Kenya together with the registration fee.
  3. Each participating organization will also be eligible to participate (but is not mandatory) in the Company Secretary of the Year Award.
  4. After registering and paying the registration fee, a self assessment form shall be sent to the organization for completion. This form should be returned to the Institute within 7 days of receiving it, together with all supporting documentations, as required in the form.
  5. The Company Secretary of the Year Award assessment form will be sent together with the self assessment form, for those who will opt for this category.
  6. The evaluation will be out of 100% with the cut off mark being 60% for the organization to proceed to the second level of assessment by Assessment Consultants.
  7. A team of at least two Assessment Consultants shall be assigned to the organization to carry out the evaluation as detailed in (vi) above.
  8. The data collected from the organizations will then be analyzed using the Likert scale, out of 100%.
  9. The organizational performance will then be classified into sector ranking, overall ranking and company secretary of the year awards.
  10. The evaluation results will then be submitted to a Jury for decision making and the decision of the Jury shall be final.
  11. Winners shall be announced at the Gala Dinner on Thursday, November 11, 2010.

Award Ceremony

The Gala Dinner to announce the winners of the Award will be held on Thursday, November 11, 2010, at the Sarova Panafric Hotel, Nairobi.

VI. Invitation to Participate

All eligible organizations are invited to participate in this Award. Participation in this Award will demonstrate that your organization is keen about good governance practices and that its business transactions are above board. It is anticipated that by participating in this Award, organizations will earn more confidence in the market place and this will ultimately transform to a higher value for the organization.
